TERMS OF SERVICE // BY EVERYDAY
These Terms of Service (“Terms”) govern your use of all products and services provided by Everyday Capital Ventures LLC (DBA Everyday LLC) and its subsidiaries: Everyday Advisor, Everyday Content, Everyday Hospitality, and Everyday Travel (collectively, “Everyday,” “we,” “our,” or “us”).
By engaging with our services, you agree to be bound by these Terms and any additional policies linked herein, including our Privacy Policy and Disclosures.
1. Legal Structure
These Terms apply to all services by Everyday LLC rendered under:
- Everyday Advisor (strategy and research)
- Everyday Content (media and storytelling)
- Everyday Hospitality (data and analytics)
- Everyday Travel (event curation and production)
Use of our services constitutes acceptance of these Terms. We reserve the right to update them. The current version will always be available at everydayco.us/terms.
2. Acceptable Use & LLM Prohibitions
You may not:
- Use large language models (LLMs), AI tools, or crawlers to extract, replicate, summarise, or train on any material from our website, dashboards, reports, or content without explicit written permission.
- Submit any content (including our materials, deliverables, or presentations) to an LLM for summarization, transcription, or derivative use without written consent. This includes Everyday materials in whole or in any substantial part.
- Use our data or strategy playbooks in AI training corpora or commercial tools.
Violations will be considered a breach of contract and intellectual property infringement.
3. License, Ownership & Enforcement
Unless stated in a mutually signed written agreement, all content, materials, tools, models, and frameworks provided by Everyday are the exclusive intellectual property of Everyday LLC. Clients and users are granted a non-transferable, non-sublicensable, and time-limited license to use such materials solely for their intended purpose during the term of their agreement.
You may not:

Sell, rent, sublicense, or repurpose Everyday content or deliverables

Reproduce, duplicate, display, or republish any materials outside your organization without written consent

Share internal documents, drafts, or newsletters beyond the designated individual or subscription

Use group inboxes (e.g., team@company.com) to subscribe to Everyday’s newsletter

Modify or redistribute content or tools without permission

Use any materials for LLM training or commercial AI enhancement (see Section 2)
Violations of these terms may result in immediate account termination without refund and may trigger legal enforcement, including claims for intellectual property infringement and damages.
4. Everyday Advisor
Advisory clients may receive access to:

Private libraries curated by Everyday, including memos, templates, recordings, transcripts, modules, and proprietary internal research

One-on-one strategy calls, reviews, sparring sessions, and workshops
Access is granted only for the duration of your active contract or subscription.
You may not:

Share Everyday’s proprietary resources (e.g. memos, transcripts, frameworks, templates) with third parties, including competitors, consultants, or contractors

Distribute or republish recorded calls, strategy documents, or internal benchmarks to anyone inside or outside your organization without written permission

Use Everyday frameworks, methods, or materials, in whole or in part, in commercial coaching, education, or curriculum without an explicit license.

Train LLMs, AI systems, or internal knowledge bases on any Everyday content, transcripts, or deliverables.
You may:
- Share public materials included in the library (e.g. a podcast or article hosted on a third-party site) freely

Record strategy calls for internal use only. You may not share or distribute recordings externally.
Access to proprietary libraries and shared folders will be automatically revoked upon contract termination. Everyday reserves the right to suspend or permanently revoke access for any breach of these terms.
5. Everyday Content
Clients who engage Everyday for content creation, including but not limited to ghostwriting, speechwriting, brand storytelling, or editorial strategy, are granted a limited, non-transferable license to use the deliverables for their intended purpose.
5.1 Ownership & Usage

All original drafts, outlines, and research materials created by Everyday remain the intellectual property of Everyday unless otherwise agreed in writing.

Final deliverables (e.g., speeches, essays, scripts, web copy) are licensed for client use but may not be repurposed, sublicensed, or resold without explicit permission.

Everyday reserves the right to privately archive and anonymise any drafts or materials for internal benchmarking, case studies, or creative refinement.

If filming or recording is involved, all raw footage and original media assets remain the sole property of Everyday. These are not included in the standard license and must be purchased separately if requested.
You may not:

Reuse Everyday-created materials in future works (books, paid keynotes, courses, etc.) without a new license or engagement.

Share internal drafts or frameworks with competitors, agencies, or collaborators without written approval

Train LLMs or AI systems on original content created by Everyday
You may:

Use the final deliverables across your owned channels (e.g. newsletter, social, website, live stage) for the duration of your license

Reference or reuse the final product for personal archival purposes (e.g. in a press kit, portfolio, or private investor deck)
Everyday may request (but does not require) attribution in select public-facing contexts. We reserve the right to suspend or revoke content usage if these terms are breached.
6. Everyday Hospitality
When you engage Everyday Hospitality, the following terms apply:
6.1 Access & License
You are granted a non-transferable, non-sublicensable license to access our proprietary dashboards, analytics, and segmentation tools. Access is revoked upon termination of your agreement. You may not:
- Clone or reverse-engineer any dashboards, tags, or code
- Share login credentials or outputs with competitors or external vendors
- Embed our proprietary frameworks into your internal platforms
6.2 Ownership of Data & Deliverables
- You own all the raw data extracted from your data systems.
- We own all derived insights, tags, dashboards, enriched data, strategy recommendations, models, and underlying source code.
6.3 Platform Access
You are solely responsible for granting and revoking platform access. Our systems will automatically sync and download data as long as access is available. Everyday is not liable for continued data ingestion if credentials remain active after termination.
6.4 Post-Termination Model Rights
You may request data deletion upon termination. We may retain an anonymised, de-identified copy of your data to improve our benchmarks, segmentation thresholds, and enrichment models for predicting guest behaviour.
These models will not identify you or your business. They are used to improve service quality for all Everyday Hospitality partners.
7. Everyday Travel
These additional terms apply when you engage with Everyday Travel:
7.1 Engagement of Services
By hiring Everyday Travel to curate or host any experience including but not limited to retreats, offsites, summits, tastings, or live podcasts, you and your attendees agree to these Terms. Registration is complete upon full payment.
7.2 Participation & Eligibility
Your registration grants you the right to attend the Retreat, subject to availability and participant guidelines. Everyday reserves the right to deny or revoke access based on eligibility, capacity, or behavioural violations.
7.3 Use of Likeness
By participating, you consent to the use of your name, photo, video, and voice in Retreat media, including advertising, recaps, and future promotions. All recordings are the sole property of Everyday. We do not knowingly collect or use likeness for minors under 18 without guardian consent.
7.4 Retreat Materials & Feedback
You grant Everyday a non-exclusive, royalty-free, irrevocable license to use any materials, testimonials, or feedback you provide in connection with the Retreat. We may edit, publish, and distribute them in any format.
7.5 Company Marks
You grant Everyday the right to use your or your company’s logo in connection with Retreat materials and promotion, subject to your brand guidelines.
7.6 Data Collection
We collect limited personal data during Retreat registration (e.g., name, email, dietary restrictions) and use it only as described in our Privacy Policy.
7.7 Refunds & Cancellations
All payments are non-refundable but transferable. We reserve the right to change the venue, speakers, or format without liability. Force majeure events may delay or modify the experience, but do not alter payment obligations unless expressly agreed in writing.
7.8 Code of Conduct
You agree to respectful participation. We reserve the right to remove any attendee for disruptive behaviour, discrimination, or harassment.
7.9 Liability Waiver
You attend at your own risk. Everyday and its partners are not liable for injury, illness, or property damage unless caused by gross negligence. You should maintain your own travel and health insurance.
8. Private Archives
Everyday may provide you with gated or password-protected access to select content, collectively referred to as the “Private Archives.” This may include newsletters, audio recordings, photo galleries, essays, and other curated materials.
These are licensed for your personal, non-commercial use only. You may not redistribute, reproduce, or publicly share any portion of the Private Archives without written permission from Everyday LLC.
Everyday reserves the right to suspend or revoke access to the Private Archives at any time, especially in cases of misuse or credential sharing.
9. Disclaimers & No Warranties
NOTHING PROVIDED BY EVERYDAY — INCLUDING THIS WEBSITE, NEWSLETTER, PODCAST, ADVISOR SERVICES, HOSPITALITY INSIGHTS, TRAVEL EXPERIENCES, OR ANY OTHER PLATFORM OR CONTENT — CONSTITUTES FINANCIAL, LEGAL, TAX, OR INVESTMENT ADVICE. YOU SHOULD CONSULT YOUR OWN ADVISORS BEFORE MAKING ANY DECISIONS. EVERYDAY LLC IS NOT YOUR FINANCIAL ADVISOR, AND YOU ALONE ARE RESPONSIBLE FOR YOUR ACTIONS. FOR MORE DETAILS, SEE OUR DISCLOSURES.
All services are provided “as is” and “as available” without warranties of any kind, express or implied. We make no guarantees that our services will be accurate, uninterrupted, secure, or error-free. You use Everyday at your own risk.
To the fullest extent permitted by law, Everyday LLC and its affiliated members, partners, and contractors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of our services. This includes, but is not limited to, loss of profits, goodwill, data, or other intangible losses. We are not responsible for any financial decisions, actions, or outcomes based on information provided through our services.
Everyday’s total liability shall not exceed the amount you paid to us for services rendered. These limitations apply regardless of the form of action and even if we have been advised of the possibility of damages. Some jurisdictions do not allow certain exclusions or limitations, so some of these may not apply to you.
We are based in the United States and make no representation that our services are appropriate or available in other jurisdictions. If you access Everyday from outside the U.S., you do so at your own risk and are responsible for compliance with local laws.
10. Tracking Technologies & Cookies
Everyday uses standard web tracking tools, including cookies and pixels, to understand user behavior, improve our services, and deliver relevant content. By using our website, you consent to our use of these technologies in accordance with our Privacy Policy.
You can adjust your browser settings to disable cookies, but this may affect site functionality.
11. Illinois Consumer Rights Notice
Under Illinois law, residents have the right to request certain information about the data a business collects and how it is used. If you are a resident of Illinois, you may contact us to inquire about your rights regarding access, correction, or deletion of your personal information.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
You agree to resolve any dispute arising from these Terms through binding arbitration in Delaware. You waive the right to participate in any class-action lawsuit related to our services.
Claims related to intellectual property, confidentiality, or unauthorized use of our materials may be brought in any court of competent jurisdiction and are not subject to mandatory arbitration.
13. Entire Agreement
These Terms, along with our Privacy Policy and Disclosures, constitute the entire agreement between you and Everyday LLC. They supersede any prior written or oral agreements related to the services.

15. Headings
Headings and section titles in these Terms are for convenience only and do not affect their interpretation.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
17. Non-Waiver
Failure by Everyday to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
18. Survival
The provisions relating to intellectual property, confidentiality, ownership, LLM prohibitions, payment obligations, disclaimers, limitations of liability, dispute resolution, and any other terms that by their nature should survive termination shall remain in full force and effect after termination of your agreement with Everyday.
